Terms of Use

The terms that govern your use of DIGITHRON's website and services.

These Terms of Use govern your use of the DIGITHRON website and services. By using our site or engaging our services, you agree to these terms.

1. Who we are

DIGITHRON ("we", "us") is a website, hub, sales funnel and app studio based in London, United Kingdom. You can contact us at hello@digithron.com.

2. Who we work with

We provide our services to businesses, not to consumers. By engaging us you confirm that you are acting for the purposes of your trade, business or profession.

We currently work only with businesses based in the United Kingdom, the United States and Canada. We do not offer our services to businesses or individuals in the European Union, the European Economic Area or elsewhere in Europe, or in any other country. We may decline any project, including under our Client & Industry Eligibility Policy.

3. Our services

We design, build, host and maintain websites, hubs, sales funnels, apps and related systems for our clients. We build them on a professional third-party software platform ("the Platform"), which runs on Amazon Web Services. Each project begins with a live preview that you review and approve before launch.

What is included in your project is set out in your plan, quote or order. Anything outside that scope is quoted separately.

4. Your responsibilities

You are responsible for giving us accurate information, for the content and materials you supply, for having the rights to use them, and for using your website, funnel or app lawfully. You are responsible for your own customers, your own products and services, and your own legal obligations, including any laws that apply to your industry and to the countries you sell into.

5. Fees and payment

Our services are billed as a one-off setup fee for the initial build, plus a recurring monthly plan, as agreed at the start of your project. Prices are in pounds sterling (GBP). DIGITHRON is not currently VAT registered, so no VAT is added. If that changes, we will tell you in writing before VAT is added to future invoices. Your monthly plan price stays as agreed while your plan continues.

Plans are billed monthly in advance, or yearly in advance if you choose to pay yearly (12 months for the price of 10). You may pay your setup fee in up to 6 equal monthly instalments with no interest or extra charges; if you cancel before it is fully paid, the remaining instalments are still due. Our founding offer gives half off the setup fee to the first 15 businesses that switch from an existing website, when we can reuse their current content. Once those places are taken, the standard setup fee applies. Any price you join at is the price you keep.

Your plan covers hosting, maintenance, ongoing support and unlimited minor updates (text, prices, images and similar small changes), as described in your plan. The setup fee includes up to 2 rounds of revisions before launch.

Some projects need extra platform services, such as a dedicated database, a web-app server, additional email sending, AI usage or analytics. We quote these before we start, and they are billed in addition to your plan. If the cost of an extra platform service changes, we will give you at least 30 days' notice before your price for it changes.

6. Cancellation

Monthly plans have no long-term contract. You may cancel at any time with 30 days' written notice. Yearly plans run for the year you have paid for. All payments, including setup fees, are non-refundable once made. See our Refund Policy.

We may suspend or end our services if fees are unpaid, if you breach these terms, or if your use of the service breaks the law or our Client & Industry Eligibility Policy.

7. Ownership and intellectual property

Your content (the text, images, logos and other materials you supply), your customer data and your domain name belong to you.

The website, funnel, hub or app we build, its code, and the Platform it runs on belong to us or to our Platform provider. While your plan is active, you have the right to use the finished build for your business. The build runs only on the Platform and cannot be moved to another hosting company, agency or developer.

8. If you leave, or if we stop trading

If you cancel, we will help you export your content and customer data, and your domain remains yours.

Transferring a project to another Platform account is not yet available; the Platform has said it is planned. Once it is available, at our discretion, we can transfer your project to your own account on the Platform, set up through us. After a transfer you deal directly with the Platform, pay its fees under its own terms, and manage the project yourself. We are not responsible for a project once it has been transferred.

If DIGITHRON stops trading and transfers are available, we will aim to offer the same transfer to every active client.

9. Third-party services

Your project relies on third-party services, including the Platform, Amazon Web Services, payment processors, domain registrars and app stores. Their own terms apply to those services. We choose reputable providers but are not responsible for their acts, failures or price changes.

10. Service availability

We take reasonable steps to keep client sites and apps available, but we do not guarantee uninterrupted or error-free service. Outages at the Platform, Amazon Web Services or other third parties are outside our control.

11. Limitation of liability

To the extent permitted by law, we are not liable for indirect or consequential loss, or for loss of profit, revenue, business, goodwill or data. Our total liability to you in connection with our services is limited to the fees you paid us in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law.

12. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, regardless of the country in which you are based.

13. Changes

We may update these terms from time to time. We will tell active clients about material changes before they take effect. Continued use of our services after a change means you accept the updated terms.
